Corporation and LLC Formation Process

Below is a list of the steps that are we take to collect, review and accurately form your new corporation or LLC.

Review OrderStep 1 - Receive and Review Order

When American Incorporators receives your order, either online or over the phone, we review the order to make sure that we have all the correct information to process your request. If we need to confirm any information provided, we will contact you.

Step 2 - Check Name Availability

Next, we contact the state of formation to see if your preferred name choice is available and reserve it when appropriate. Each state has its own rules on what is allowed. For instance, a corporation must have a corporate identifier on the end of, or in, the company name (such as "Inc." or "Incorporated" for corporations, and "LLC" or "Limited Liability Company" for LLCs). The name may not contain any prohibited words. For example, most states will not allow the use of the word "bank" in a company name unless you ARE a bank and have written approval from the appropriate state banking agency. If your chosen name is not available, we will contact you to obtain a new name choice.

Step 3 - Prepare Incorporation Documents


process_order.jpgWe then prepare the "Articles of Incorporation / Organization" according to the state guidelines and the information provided in your order. We will sign the Articles of Incorporation / Organization as the incorporator/organizer of your new company. There is nothing that you will need to sign. We then send the prepared and signed documents together with the required filing fees to the state for filing.


Step 4 - State Reviews Incorporation Documents

Once the state receives the documents, they check to see if the documents are prepared in the correct format and according to state requirements. The state then does a final name check to see if the company name is available and a permitted one.

Step 5 - State Approves Filing

Once the state review process is completed and the documents have met the state requirements, the state approves the articles for filing. At this point the articles are given a file date and your approved company name is usually assigned an official ID number and entered into their record keeping system.

Step 6 - State Stores Copy of Official Filing

Once the articles have been approved and filed by the state, they are usually recorded. The document is photo-copied or scanned, and this recorded copy is stored in the state's record storage system.

Step 7 - Official Copy of Approved Filing is Returned

At this point an official copy of the approved artcles are prepared and sent back to American Incorporators.

congratulations.jpgStep 8 - Completed Filing is Reviewed for Accuracy

At this point American Incorporators does a final review of the articles to make sure they have been filed as you have requested. Once verified we scan a copy of your filed articles to our record keeping system. This ensures our ability to provide you with copies of these important documents at your request.

Step 9 - Official Evidence is Shipped

After confirming the documents and securing any additional services ordered (i.e., coprorate kit, tax ID number, etc.), we then send the completed package to you. Congratulations, your new company is complete!
